Main activity

The activity of Commercial Law Advisers CLS Commercialisti Srl “CLS” comprises services in different commercial field like administrative and corporate advices, corporate financial consultancy and management control to small and medium sized companies.

CLS advices corporations and groups of companies, national or international, both in ordinary advice and extraordinary operation and in the most delicate situations.

The firm is small but it works closely with an extensive, qualified network of other Chartered Accountants, Lawyers, Notaries and pay-roll Consultants who collaborate together to provide quality and personal services to companies, professionals and private citizens.

Inside CLS firm operates a dynamic and flexible Team, qualified in corporate, tax and business consultation proposing itself:

  • to assist the company during all stages of development of a business idea;
  • to anticipate the needs of the customers with a periodic overview of the economic landscape;
  • to assist the customers in every compulsory fulfilment;
  • to support the customer in planning strategic development activities.

Tax defence

CLS Professionals represent customer before the highest Fiscal Courts in relation to direct taxes, value added tax and inheritance taxes.

Telematic services

CLS is enabled for telematics transmission of fiscal form to the Italian internal revenue and tax service and for telematics transmission of financial statement and other compulsory documents to the local chambers of commerce.

CLS  uses the integrated software system Zucchetti®  to issue fiscal form and other numerous documents; upgrade of the software and the system (Microsoft® certified LAN) ordinary and extraordinary maintenance is guaranteed by Sabicom S.r.l. (official partner of Zucchetti®, a specialized computer service company).

Accounting services and tax consulting

  • Ordinary and extraordinary accounting fulfilment, book-keeping under Italian GAAP accountability rules,
  • Evaluation and selection of accounting procedures for management systems,
  • Finance planning and cash management, break – even analysis, index balance sheet analysis, cash flow analysis,
  • Preparation of the balance sheet, financial statement and other related documents,
  • Drafting, certification and delivery to the Italian authorities of the individual financial statement and consolidated financial statement,
  • Benchmarking and business analysis with competitors,
  • Drafting tax forms (Direct and indirect taxes) and submitting in electronic format to Italian Tax Authorities

  • Direct and Indirect taxes and corporate law advisory,
  • Preparation of resolutions for administrative bodies and shareholders’ meetings,

  • Assistance for the formation of new companies,

Labour law

  • In partnership with Pay-Roll Consultant and labor law lawyer :

    • Drawing up contracts of employment and different type of collaborations,
    • Management of periodic contribution to social security institutions and employee assurance institutions,
    • Drawing up wage pockets, F24 models, net salary models,
    • Drawing up summary chart of accrued year-end bonus, summer bonus, holidays, leaves and severance pay,
    • Evaluation of stock option plan, stock grant plan and fringe benefits,
    • Evaluation of the management of employee contracts and career plan.

Accounting and tax audit

  • Participation in committees of corporate control in private entities, public entities and cooperatives
  • Auditing of financial statements and auditing of interim accounts,
  • Periodic verifications for regular bookkeeping,
  • Assistance with tax audits,
  • Fiscal and balance sheet due diligence.

Tax litigation service

  • Assistance and cooperation with Tax Authorities during tax controls and custom controls,
  • Representation of clients before Tax Courts in all Litigation Stages,
  • Letter Ruling Requests and Assistance with Tax Authorities,
  • Assistance with Tax Audit procedures and in the pre-litigation stages,
  • Representing our clients in the negotiations with the Tax Authorities,
  • Formulation of requests and questions to the Tax Authorities.
